By accessing the STELLA LAB website, requesting a quote, or engaging our cosmetic manufacturing services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the "Client") and STELLA LAB (the "Company"), a cosmetic laboratory registered and operating under the laws of the Kingdom of Morocco.
If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree with any part of these terms, you must not use our website or services.
STELLA LAB provides cosmetic formulation, manufacturing, and related services including but not limited to:
The specific scope of services for each project will be detailed in a separate project proposal or contract agreed upon by both parties prior to commencement of work.
All orders are subject to the following conditions:
Payment shall be made via bank transfer to the account specified in the invoice. Late payments may incur interest charges at the rate permitted by Moroccan commercial law. STELLA LAB reserves the right to suspend or cancel orders in case of non-payment.
All formulations, recipes, and technical processes developed by STELLA LAB remain the intellectual property of STELLA LAB unless a specific intellectual property transfer agreement is executed. Custom formulations developed exclusively for a Client may be subject to exclusivity arrangements as detailed in the project contract.
The Client retains full ownership of their brand names, trademarks, logos, and packaging designs. The Client grants STELLA LAB a limited, non-exclusive license to use such materials solely for the purpose of fulfilling the contracted manufacturing services.
Neither party shall use the other party's intellectual property for any purpose beyond the scope of the agreed services without prior written consent.
Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of the business relationship. Confidential information includes, but is not limited to, formulation details, manufacturing processes, business strategies, pricing, client lists, and any trade secrets.
This obligation of confidentiality shall survive the termination of any business relationship between the parties for a period of five (5) years. Disclosure of confidential information shall only be permitted with prior written consent or as required by law.
STELLA LAB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to loss of profits, business interruption, or loss of data, even if STELLA LAB has been advised of the possibility of such damages.
Our total liability for any claims arising under these terms shall not exceed the total amount paid by the Client for the specific order or service giving rise to the claim. STELLA LAB warrants that all products manufactured comply with the agreed specifications and applicable regulatory standards at the time of delivery.
Force majeure events, including natural disasters, pandemics, government actions, or supply chain disruptions beyond our reasonable control, shall excuse performance under these terms for the duration of such events.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Agadir, Morocco.
In the event of any conflict between these terms and any project-specific contract or agreement, the provisions of the project-specific contract shall prevail. These terms constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements and understandings.
